1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the Gray Wellness Consulting, LLC website at graywellnessconsulting.com (the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. About Our Services

Gray Wellness Consulting, LLC is a Massachusetts limited liability company providing online mental health counseling and workplace consulting services. Lisa A. Gray, MEd, LMHC, is a Licensed Mental Health Counselor in the Commonwealth of Massachusetts (License #8945) and the State of Rhode Island (License MHC01493).

The Site provides information about our services and allows you to schedule a consultation. The Site itself is not a substitute for clinical treatment, and use of the Site does not create a therapist-client relationship.

3. Not for Emergencies

If you are experiencing a medical or mental health emergency, do not use this Site. Call 911 immediately, go to your nearest emergency room, or contact the 988 Suicide & Crisis Lifeline by calling or texting 988.

The Site, including any contact forms, is not monitored continuously. Communications submitted through the Site may not be reviewed immediately, and we cannot guarantee a response time. The Site is not a crisis resource.

4. Telehealth Eligibility

Clinical services provided by Gray Wellness Consulting, LLC are limited to clients physically located in the Commonwealth of Massachusetts or the State of Rhode Island at the time of each session, in accordance with state licensure requirements. If you relocate to another state, we will work with you to identify a clinician licensed where you reside.

5. Age Requirements

You must be at least 18 years old to enter into a contract for services. Lisa A. Gray provides counseling to minors age 6 and older with the consent and active involvement of a parent or legal guardian. Booking, payment, and informed consent for minor clients must be handled by a parent or legal guardian.

You must be at least 13 years old to use the Site without parental supervision.

6. Booking, Fees, and Cancellations

Current fees, accepted payment methods, and cancellation policies are described on the Fees page of the Site. Booking a free 15-minute consultation does not require payment. Booking a full session requires acceptance of the fees in effect at the time of booking.

Cancellations. Sessions canceled with less than 24 hours' notice may be billed at the full session rate, except in cases of genuine emergency. The cancellation policy in effect at the time you schedule your first session will be communicated as part of your intake paperwork.

Insurance. Gray Wellness Consulting, LLC is out of network with all insurance plans and does not bill insurance directly. We can provide a superbill that you may submit to your insurer for possible reimbursement under your out-of-network benefits, if any.

7. No Therapist-Client Relationship Created Through the Site

Visiting the Site, reading content on the Site, or submitting a contact form does not establish a therapist-client relationship. A therapist-client relationship is established only after intake paperwork is completed, informed consent is given, and Lisa A. Gray, LMHC has formally accepted you as a client.

8. Informational Content

Content on the Site is provided for general informational purposes only. It is not medical advice, clinical advice, diagnosis, or treatment. Do not rely on Site content as a substitute for consultation with a licensed mental health professional.

9. Intellectual Property

All content on the Site — including text, images, graphics, logos, and design — is the property of Gray Wellness Consulting, LLC or its licensors and is protected by United States copyright and trademark law. You may not reproduce, distribute, or create derivative works from Site content without prior written permission, except for personal, non-commercial use.

10. User Submissions

Any information you submit through Site contact forms is governed by our Privacy Policy. By submitting information, you represent that the information is accurate and that you have the right to provide it.

Do not submit Protected Health Information ("PHI") or other sensitive clinical information through the Site. Use the secure clinical channels we provide as part of treatment for such communications.

11. Third-Party Links and Services

The Site may link to third-party websites and services, including Psychology Today and our online booking platform. We are not responsible for the content, accuracy, security, or practices of third-party sites or services. Your use of any third-party service is governed by that service's own terms and privacy policies.

12. Disclaimer of Warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GRAY WELLNESS CONSULTING, LLC AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF, OR INABILITY TO USE, THE SITE.

NOTHING IN THESE TERMS LIMITS OUR LIABILITY FOR PROFESSIONAL NEGLIGENCE IN THE PROVISION OF CLINICAL SERVICES OR FOR ANY LIABILITY THAT CANNOT BE LIMITED BY LAW.

14. Indemnification

You agree to indemnify and hold harmless Gray Wellness Consulting, LLC and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site.

15. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Any dispute arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Massachusetts, and you consent to the jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
